5. Ordering and Payment Terms
5.1 Placing Orders
When you place an order through our Website, you are making an offer to purchase the selected food and beverage items subject to these Terms. All orders are subject to acceptance by Taco Time, and we reserve the right to refuse or cancel any order at our sole discretion, including in cases of suspected fraud, errors in pricing, or unavailability of items.
You are responsible for reviewing your order carefully before submission. Once an order is confirmed, changes or cancellations may not be possible depending on the stage of preparation. Please contact us immediately at [email protected] if you need to make changes to a recently placed order.
5.2 Pricing and Taxes
All prices displayed on our Website are in United States Dollars (USD) and are subject to change without prior notice. Prices do not include applicable federal, state, or local sales taxes unless expressly stated. Applicable taxes will be calculated and displayed at checkout. You are solely responsible for all taxes, duties, and charges associated with your purchase.
5.3 Payment Methods
We accept various payment methods as indicated at the time of checkout. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and that the information you provide is accurate and complete. We use industry-standard security measures to protect your payment information. However, we are not responsible for any unauthorized access to your financial information that is beyond our reasonable control.
5.4 Refunds and Returns
Due to the perishable nature of food products, all sales are generally final. However, if you receive an incorrect, damaged, or unsatisfactory order, please contact us within 24 hours of receipt at [email protected]. We will review your claim in good faith and may offer a replacement, store credit, or refund at our sole discretion. Refund requests submitted after 24 hours may not be honored.
6. Food Allergens and Dietary Information
Taco Time makes reasonable efforts to provide accurate allergen and nutritional information on our Website. However, we cannot guarantee that our food products are free from any particular allergen, as our kitchen facilities handle a variety of ingredients that may cause cross-contamination. Menu items and ingredients may change without notice.
If you have food allergies, dietary restrictions, or specific health concerns, we strongly encourage you to consult with a member of our staff before placing your order. Taco Time shall not be liable for any adverse reactions, health consequences, or damages arising from the consumption of our food products by individuals with known or unknown food allergies or dietary sensitivities.
7. Third-Party Services and Links
Our Website may contain links to third-party websites, applications, or services that are not owned or controlled by Taco Time, including but not limited to third-party delivery platforms, payment processors, and social media platforms. These links are provided for your convenience only.
We have no control over, and assume no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services. Your use of any third-party service is governed solely by the terms and policies of that third party. We strongly encourage you to review the terms and privacy policies of any third-party services you access.
The inclusion of any link on our Website does not imply our endorsement, sponsorship, or approval of the linked website or its content.
8. Disclaimer of Warranties
IMPORTANT DISCLAIMER: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
Taco Time expressly disclaims all warranties, including but not limited to:
- Implied Warranties of Merchantability: We do not warrant that our Services are of a particular quality or fit for any specific purpose;
- Fitness for a Particular Purpose: We make no warranty that our Services will meet your specific requirements or expectations;
- Non-Infringement: We do not warrant that our content or Services do not infringe the rights of any third party;
- Accuracy and Completeness: We do not warrant that the information on our Website is accurate, complete, current, or error-free;
- Uninterrupted Service: We do not warrant that our Website will be available at all times, uninterrupted, secure, or free from errors or viruses.
No oral or written information or advice given by Taco Time or its representatives shall create any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TACO TIME, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, OUR WEBSITE OR SERVICES.
This limitation of liability applies regardless of whether the damages are based on contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether Taco Time has been advised of the possibility of such damages.
In no event shall our total cumulative liability to you for all claims arising out of or relating to these Terms or your use of our Services exceed the greater of:
- The total amount you paid to Taco Time in the twelve (12) months preceding the event giving rise to the claim; or
- One hundred United States Dollars ($100.00 USD).
The foregoing limitations shall apply even if any remedy set forth in these Terms fails of its essential purpose. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in their entirety.
10. Indemnification
You agree to defend, indemnify, and hold harmless Taco Time and its respective officers, directors, employees, agents, licensors, service providers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation;
- Your use or misuse of our Website or Services;
- Your violation of any third party's rights, including intellectual property rights, privacy rights, or proprietary rights;
- Any content or information you submit, post, or transmit through our Website;
- Your fraudulent, negligent, or willfully misconduct;
- Any claim that your use of our Services caused damage to a third party.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such case, you agree to cooperate with our defense of such claim. You shall not settle any claim without our prior written consent.
11. Privacy Policy
Your use of our Website and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, share, and protect your personal information in compliance with applicable federal and state privacy laws, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 45), and applicable state privacy statutes. Please review our Privacy Policy carefully to understand our practices.
By using our Services, you consent to the collection and use of your information as described in our Privacy Policy. If you have questions about our data practices, please contact us at [email protected].
12. Governing Law and Jurisdiction
These Terms of Service shall be governed by, construed, and enforced in accordance with the laws of the United States and the applicable laws of the state in which Taco Time principally operates, without regard to any conflicts of law principles that would cause the application of the laws of any other jurisdiction.
Subject to the Dispute Resolution section below, you hereby irrevocably consent to the exclusive jurisdiction and venue of the federal and state courts located in the applicable jurisdiction of the United States for the resolution of any disputes arising out of or relating to these Terms or your use of our Services.
You waive any objection to the laying of venue of any such proceeding in such courts and any claim that such proceedings have been brought in an inconvenient forum.
Nothing in these Terms shall limit our right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of our intellectual property rights, trade secrets, or other proprietary rights.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact Taco Time and attempt to resolve any dispute informally. Please send a written description of your dispute to [email protected]. We will make good-faith efforts to resolve the dispute within thirty (30) days of receiving your notice.
13.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved by binding arbitration administered by a recognized arbitration organization in the United States, such as the American Arbitration Association (AAA), in accordance with its then-current Consumer Arbitration Rules.
The arbitration shall be conducted by a single neutral arbitrator. The place of arbitration shall be within the United States, with proceedings conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
13.3 Class Action Waiver
YOU AND TACO TIME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR TO PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
13.4 Small Claims Court
Notwithstanding the foregoing, either party may bring an individual claim in small claims court in the appropriate jurisdiction, provided that the claim qualifies and remains in small claims court and is not removed or appealed to a court of general jurisdiction.
14. Term and Termination
These Terms shall remain in full force and effect for as long as you use our Website or Services, or maintain an account with us. Either you or Taco Time may terminate this Agreement at any time:
- By You: You may terminate your use of our Services at any time by discontinuing use of our Website and, if applicable, deleting or requesting the deletion of your account by contacting us at [email protected].
- By Us: We may suspend or terminate your access to our Website or Services at any time, with or without cause, with or without prior notice, if we believe in our sole discretion that you have violated these Terms, applicable law, or that your use poses a risk to us, other users, or third parties.
Upon termination of this Agreement for any reason:
- Your license to use our Website and Services shall immediately terminate;
- You must cease all use of our Website, Services, and any of our intellectual property;
- Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute resolution.
Termination of your access to our Services does not relieve you of any obligations or liabilities that arose prior to termination.
15. Changes to Terms
We reserve the right to modify, update, or revise these Terms at any time at our sole discretion. When we make material changes to these Terms, we will provide notice by:
- Updating the "Last Updated" date at the top of this page;
- Posting a prominent notice on our Website; and/or
- Sending an email notification to registered users (where applicable).
Your continued use of our Website or Services following the posting of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of our Services immediately.
We encourage you to periodically review these Terms to stay informed of any changes. Changes to these Terms shall be effective immediately upon posting unless otherwise stated.
16. Severability
If any provision of these Terms is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, unlawful, unenforceable, or void for any reason, that provision shall be deemed severed from these Terms, and the remaining provisions of these Terms shall continue in full force and effect.
The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the modified provision shall be interpreted to best reflect the original intent of the parties. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision hereof.
17. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by Taco Time on our Website, constitute the entire agreement between you and Taco Time with respect to the subject matter hereof, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
No waiver by Taco Time of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition, and any failure by Taco Time to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
18. Force Majeure
Taco Time shall not be liable for any failure or delay in performance of our obligations under these Terms if such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or regulations, labor disputes, power outages, telecommunications failures, fires, floods, civil disturbances, or any other event of force majeure.
In the event of a force majeure event, we will make reasonable efforts to resume performance as soon as practicable and will notify you of the circumstances as appropriate.
19. Electronic Communications
By using our Website and Services, you consent to receive electronic communications from us, including via email, push notifications, or notices posted on our Website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
You agree to keep your contact information current and accurate so that we can send you important communications regarding your account and our Services. If you wish to opt out of marketing communications, you may do so by following the unsubscribe instructions included in our emails or by contacting us directly.
